Terms of Service
Effective Date: January 30, 2026
1. Acceptance of Terms
By installing or using AlthemaxAI Subscription ("the App"), you agree to these Terms of Service. If you do not agree, do not install or use the App.
2. Description of Service
AlthemaxAI Subscription provides subscription management tools for Shopify merchants, including:
- Creating and managing selling plans
- Processing subscription orders
- Customer self-service portal
- Failed payment recovery (dunning)
- Analytics and reporting
3. Eligibility
You must:
- Have an active Shopify store
- Be at least 18 years old or the age of majority in your jurisdiction
- Have authority to bind your business to these terms
4. Account and Access
- You are responsible for maintaining the security of your Shopify account
- You must provide accurate information during setup
- You are responsible for all activity under your account
5. Fees and Billing
- Pricing is displayed in the App and Shopify App Store
- Fees are billed through Shopify's billing system
- All fees are non-refundable except as required by law
- We may change pricing with 30 days notice

6. Acceptable Use
You agree NOT to:
- Use the App for illegal purposes
- Violate Shopify's Terms of Service or Acceptable Use Policy
- Attempt to reverse engineer or hack the App
- Resell or redistribute the App
- Use the App to send spam or unsolicited communications
7. Intellectual Property
- The App and its content are owned by AlthemaxAI
- You retain ownership of your store data
- You grant us a license to use your data to provide our services
8. Data and Privacy
- Our Privacy Policy governs data collection and use
- We comply with GDPR and applicable privacy laws
- We delete your data within 48 hours of app uninstallation
9. Service Availability
- We strive for 99.9% uptime but do not guarantee uninterrupted service
- We may perform maintenance with reasonable notice
- Shopify platform availability affects our service
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Our liability is limited to fees paid in the 12 months before the claim
- We are not liable for indirect, incidental, or consequential damages
- We are not liable for lost profits, data loss, or business interruption
11. Indemnification
You agree to indemnify and hold us harmless from claims arising from:
- Your use of the App
- Your violation of these Terms
- Your violation of any third-party rights
12. Disclaimer of Warranties
THE APP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
13. Termination
- You may uninstall the App at any time via Shopify admin
- We may terminate your access for violation of these Terms
- Upon termination, your data will be deleted per our retention policy
14. Changes to Terms
We may modify these Terms at any time. Continued use after changes constitutes acceptance. Material changes will be notified via email or in-app notice.
15. Governing Law
These Terms are governed by the laws of Hong Kong SAR. Disputes will be resolved in the courts of Hong Kong SAR.
16. Severability
If any provision is found unenforceable, the remaining provisions continue in effect.
17. Entire Agreement
These Terms, along with our Privacy Policy, constitute the entire agreement between you and AlthemaxAI regarding the App.
